Protocol No. 4 - of the Joint Meeting of the Board and the Meeting of Participants of the Association of Realtors and Real Estate Owners of Tajikistan

In attendance: 25 participants (the Register of Meeting Participants is attached)
The Representatives of the Founders, the Members of the Board and the Participants of the Association of Realtors and Real Estate Owners of Tajikistan, during the meeting held:
- discussed the presented organizational plan for the start of the ARREOT’s activity,
- discussed the capabilities of the Founders and Participants of the ARREOT regarding the payment of founding contributions and participant contributions;
- discussed the information presented by the Director of the ARREOT, Pulatov K., on the organization and start of activity under the ARREOT of its own Educational Center (School of Realtors), Legal Center for Legal Support, Center for the Certification of Realtors and Real Estate Properties, and Independent Center for the Appraisal of the Value of Real Estate;
- Discussed other proposals aimed at intensifying the activity of the ARREOT;
During the holding of the Joint Meeting of the Board and the Meeting of Participants of the ARREOT
THEY ADOPTED THE FOLLOWING DECISIONS:
1.Approved the Second Register of Founders of the ARREOT who paid the founding contribution in the amount of 3,000 (Three thousand) somoni, as of March 04, 2023, numbering 15 (Fifteen) founders,
and approved their authorized Representatives on the Board of the ARREOT,
with the right to vote in the General Meeting and the Board of the ARREOT (the Register of Founders of the ARREOT who paid the founding contributions is attached)
2.Took note of the consolidation in the ARREOT’s account of the founding contributions made, in the amount of 45,000 (Forty-five thousand) somoni;
3.Coordinated and approved the need to hold in May 2023 the 1st Republican Congress of Operators of the Real Estate Market of Tajikistan, with the participation of:
o Private Realtors;
o Representatives of Local bodies of state Executive power;
o Representatives of ministries and agencies, and other state institutions and enterprises exercising control and supervision in the sphere of land use, construction and real estate;
o Heads of Real Estate Sales Agencies,
o Heads of Information portals and real estate websites;
o Heads of Managing companies for the servicing of residential buildings;
o Heads of Homeowners’ Associations;
o Sales Departments of Construction Companies;
o Risk Assessment Departments and/or Credit Departments of Banks, MDOs, MLFs;
o Advertising agencies;
o Real Estate Operators,
o Internet Bloggers;
o other legal entities of all forms of ownership carrying out their activity in the real estate sphere;
o as well as large real estate owners and other natural and legal persons;
4.Instructed the Director of the ARREOT, Pulatov K., and the Members of the Board of the ARREOT to, by April 01, 2023, conduct negotiations and explanatory work with the previously declared and new Founders and potential Participants of the ARREOT,
regarding the expediency of their entry into the body of Founders or Participants of the ARREOT,
their receiving from the ARREOT preferences, administrative support, tax support and legal protection, in the course of their activity on the real estate market as a Realtor or Landlord,
with the explanation that
4.1.any Natural or Legal person - who has paid into the settlement account a one-time membership contribution in the amount of 3,000 somoni
- automatically receives the Status of Founder of the ARREOT;
-automatically receives access to participate in the General Meeting and the Board Meeting of the ARREOT with the right to vote in the General Meeting and the Board of the ARREOT;
4.1.any Natural or Legal person who is a Realtor or a Member of the Board - who has paid into the settlement account a one-time membership contribution in the amount of 1,000 somoni
- automatically receives the Status of Participant of the ARREOT;
- automatically receives access to participate in the General Meeting and the Board Meeting of the ARREOT, BUT WITHOUT THE RIGHT TO VOTE in the General Meeting and the Board of the ARREOT;
4.3.any Natural or Legal person who is a Real Estate Owner and interested in renting it out or selling it on a free basis may, by written application, become a Participant of the ARREOT,
receives access to participate in the General Meeting and the Board Meeting of the ARREOT, but without the right to vote in the General Meeting and the Board of the ARREOT;
5.Approved the Updated composition of the Board of the ARREOT as of March 04, 2023, on condition of making the founding contributions before March 04, 2023 (the Register of Members of the Board of the ARREOT - authorized representatives of the founders who paid the founding contributions is attached)
6.Adopted a Decision on the phased increase of the Amount of the one-time Founding contribution for those previously declared but who have not paid the one-time Founding contributions and for the new Founders of the ARREOT, up to the final fixed figure of 10,000 (Ten thousand) somoni, including with a phased monthly increase of its amount:
· from April 01, 2023 to 4,000 (Four thousand) somoni;
· from May 01, 2023 to 5,000 (Five thousand) somoni;
· from June 01, 2023 to 6,000 (Six thousand) somoni;
· from July 01, 2023 to 7,000 (Seven thousand) somoni;
· from August 01, 2023 to 8,000 (Eight thousand) somoni;
· from September 01, 2023 to 9,000 (Nine thousand) somoni;
· from October 01, 2023 to 10,000 (Ten thousand) somoni;
with the MANDATORY CONDITION that all Founders of the ARREOT receive preferences, administrative support, tax support and legal protection in the course of their activity on the real estate market as a Realtor or Landlord, considering that any Natural or Legal person - who has paid into the ARREOT’s settlement account a one-time Founding contribution:
- automatically receives the Status of Founder of the ARREOT;
-automatically receives access to participate in the General Meeting and the Board Meeting of the ARREOT with the right to vote in the General Meeting and the Board of the ARREOT;
7.Adopted a Decision NOT TO INCREASE the amount of the one-time Membership contribution for new Participants of the ARREOT, and to fix it until the end of 2023 at 1,000 (One thousand) somoni,
with the explanation that Any Natural or Legal person who - has paid into the settlement account a one-time Membership contribution in the amount of 1,000 somoni
- automatically receives the Status of Participant of the ARREOT;
- automatically receives access to participate in the General Meeting of Founders and Participants of the ARREOT, BUT WITHOUT THE RIGHT TO VOTE in the General Meeting of Founders and Participants of the ARREOT;
8.Confirmed the previously adopted Decision that Any Natural or Legal person who is a Real Estate Owner and interested in renting it out or selling it on a FREE BASIS may, by written application, become a Participant of the ARREOT,
receives access to participate in the General Meeting of Founders and Participants of the ARREOT, BUT WITHOUT THE RIGHT TO VOTE in the General Meeting of Founders and Participants of the ARREOT;
9.Took into account the start of independent financial-economic activity (on a self-financing basis) from March 01, 2023, of:
9.1.The Educational Center (School of Realtors) of the ARREOT;
9.2.The Legal Center for Legal and Administrative Protection of Realtors and Homeowners of the ARREOT;
9.3.The Certification Center of the ARREOT;
9.4.The Independent Center for the Appraisal of the Value of Real Estate Properties of the ARREOT;
10.Took into account the conclusion of a long-term lease agreement for 4 premises, on the 2nd floor of an administrative building, at the address city of Dushanbe, Sadriddin Aini Avenue, building 42, with the placement in these premises of:
10.1.The Director and the Conference Hall of the Members of the Board of the ARREOT;
10.2.The Educational Center (School of Realtors) of the ARREOT;
11.3.The Legal Center for Legal and Administrative Protection of the Rights of Realtors and Real Estate Owners of the ARREOT;
10.4.The Certification Center of the ARREOT;
10.5.The Independent Center for the Appraisal of the Value of Real Estate Properties of the ARREOT;
11.Instructed the Director of the ARREOT, Pulatov K., to, by March 10, 2023, conclude a contract and pay for consulting legal services for the development and submission for approval by the Board of the ARREOT of the following financial-economic materials:
11.1.The Management Structure of the ARREOT;
11.2.The Staffing Schedule of the ARREOT for the period from March 01, 2023 to March 01, 2024;
11.3.The Financial Income Plan of the ARREOT for the period from March 01, 2023 to March 01, 2024;
11.4.The Expense Estimate of the ARREOT for the period from March 01, 2023 to March 01, 2024;
12.5.Approved those presented by the Board of the ARREOT:
· The Regulation on the Legal Center for Legal and Administrative Protection of Realtors and Homeowners of the ARREOT;
· The Regulation on the Educational Center (School of Realtors) of the ARREOT;
· The Regulation on the Certification Center of the ARREOT;
· The Regulation on the Independent Center for the Appraisal of the Value of Real Estate Properties of the ARREOT;
13.Instructed the Head of the Legal Center for Legal and Administrative Protection of Realtors and Homeowners of the ARREOT, within the term up to March 10, 2023, to develop and submit for the Board’s approval:
13.1.The Staffing Schedule of the Self-financing Legal Center for Legal and Administrative Protection for the period from March 01, 2023;
13.2.The Financial Income Plan and the Expense Estimate of the Legal Center for Legal and Administrative Protection of Realtors and Homeowners of the ARREOT for the period from March 01, 2023 to March 01, 2024;
13.3.The List of Services provided by the Self-financing Legal Center for Legal and Administrative Protection of the ARREOT for:
· The Board and the Executive Directorate of the ARREOT, on a free basis;
· The Founders of the ARREOT on a free basis;
· The Participants of the ARREOT on a paid basis;
· Independent Realtors, Real Estate Agencies and other participants of the real estate market on a paid basis;
· Owners of real estate properties on a paid basis;
13.4.The Advertising and Information materials of the Legal Center for Legal and Administrative Protection of the ARREOT;
13.5.The Work Plan of the Legal Center for Legal and Administrative Protection of the ARREOT for the period from March 01, 2023 to June 01, 2023;
13.6.The Price List for the services provided on a paid basis for third parties, real estate owners and independent Realtors;
14.Instructed the Director of the ARREOT, Pulatov K., to announce the hiring for permanent work, on a competitive basis, and to post job vacancy announcements for:
14.1.An Assistant to the Director of the ARREOT;
14.2.An Office Manager of the ARREOT;
14.3.A Secretary-Referent of the ARREOT;
14.4.A Head of the School of Realtors of the ARREOT;
14.5.A Head of the Certification Center of the ARREOT;
14.6.A Head of the Independent Center for the Appraisal of the Value of Real Estate Properties of the ARREOT;
14.7.A Chief Accountant;
14.8.An Assistant Lawyer;
14.9.An Independent Consultant on taxation;
14.10.An Independent Consultant on appraisal activity;
14.11.An Independent Consultant on certification activity;
14.12.Independent Realtors on a self-sustaining basis;
14.13.A Driver with a personal car;

and, after conducting interviews, to submit the selected candidates for the consideration and approval of the Board of the ARREOT;
15.Instructed the Director of the ARREOT, Pulatov K., to, by March 10, 2023, develop and submit for the approval of the Board of the ARREOT:
15.1.The Staffing Schedule, Financial Income Plan and Expense Estimate of the School of Realtors of the ARREOT for the period from March 01, 2023 to March 01, 2024;
15.2.The Staffing Schedule, Financial Income Plan and Expense Estimate of the Certification Center of the ARREOT for the period from March 01, 2023 to March 01, 2024;
15.3.The Staffing Schedule, Financial Income Plan and Expense Estimate of the Independent Center for the Appraisal of the Value of Real Estate Properties of the ARREOT for the period from March 01, 2023 to March 01, 2024;
16.Instructed the Director of the ARREOT, Pulatov K., to, by March 10, 2023, clarify the cost of a 2-level www._ _.tj or 3-level www._ _ _.tj internet domain in the .tj zone, agree the cost with the members of the Board, and purchase the internet domain;
17.Instructed the Director of the ARREOT, Pulatov K., to, by March 10, 2023, clarify the cost of producing the ARREOT Brand Book, conduct a selection of a Company on a competitive basis, and submit for the Board’s approval the cost of the expenses for developing the Brand Book, taking into account the production of:
17.1.Sketches of the ARREOT Logo;
17.2.A sketch of the Logo of the School of Realtors of the ARREOT;
17.3.A sketch of the Logo of the Legal Center for Legal and Administrative Protection of Realtors and Homeowners of the ARREOT;
17.4.A sketch of the Logo of the Certification Center of the ARREOT;
17.4.A sketch of the Independent Center for the Appraisal of the Value of Real Estate Properties of the ARREOT;
17.5.Sketches of the Certificate (ID card) of a Founder of the ARREOT;

18.Instructed the Director of the ARREOT, Pulatov K., to, by March 10, 2023, clarify the cost of producing the ARREOT Website, conduct a selection of a Company on a competitive basis, and submit for the Board’s approval the Technical Specification, Design, Plan – diagram of the capabilities of the Website being developed, as well as directly the estimate of the expenses for the development, production and subsequent maintenance of the Website;
19.Instructed the Director of the ARREOT, Pulatov K., within the term up to March 10, 2023, to prepare, agree and send to the Ministry of Education and Science of the Republic of Tajikistan the full package of documents for the arrangement and obtaining of a License for the right to organize an Educational center (School of Realtors) with the possibility of teaching training courses in the following areas:
19.1.The fundamentals of realtor activity;
19.2.The training of a Qualified private realtor;
19.3.The training of employees of Real Estate Agencies;
19.4.The training of an Office manager of the Sales Department of Construction companies;
19.5.Legal education on the activity and rights of a Private Realtor, a Real Estate Agency, Real Estate Operators, Real Estate Owners, Real Estate Operators, as well as the freelance activity of an Internet Blogger, Admin and Moderator of Accounts, Pages, Groups, Channels on social networks;
19.6.Tax education in carrying out the activity and rights of a Private Realtor, a Real Estate Agency, Real Estate Operators, Real Estate Owners, Real Estate Operators, as well as the freelance activity of an Internet Blogger, Admin and Moderator of Accounts, Pages, Groups, Channels on social networks;
19.7.The training of a PR manager;
19.8.The training of an SMM manager;
19.9.The training of a Designer for apartment renovation;
19.10.Training in the creation, promotion and earning of income of an Internet Blogger, Admin and Moderator of Accounts, Pages, Groups, Channels on the social networks Facebook, Instagram, Tik – Tok, YouTobe, Telegram, and other information portals;
19.11.The fundamentals of programming;
19.12.A Risk manager;
20.Instructed the Director of the ARREOT, Pulatov K., to, by March 10, 2023, prepare, agree with the Board of the ARREOT and send to:
20.1.The standardization Agency «Tajikstandard»,
20.2.The Ministry of Labor and Social Protection of the Population of the RT,
20.3.The Ministry of Education and Science of the RT,
20.4.The Ministry of Industry and New Technologies of the RT,
20.5.The Ministry of Finance of the RT;
20.6.The State Committee for Investment and Property Management of the RT;
an informational notice on the organization of the Certification Center of the ARREOT, with a description of the planned procedures for the certification of Realtors and Real Estate Sales Agencies, on an examination basis with the participation of representatives in the authorized state structures;
21.Instructed the Director of the ARREOT, Pulatov K., within the term up to March 10, 2023, to create an Open Telegram channel for all Participants of the ARREOT and independent Realtors and Real Estate Sales Agencies, Internet Bloggers in the real estate sphere, and add the said persons to them;
22.Instructed the Director of the ARREOT, Pulatov K., within the term up to March 10, 2023, to create a Closed Group on Telegram for all Founders and Members of the Board of the ARREOT and add the said persons to them;
23.Instructed the Director of the ARREOT, Pulatov K., within the term up to March 10, 2023, to request and obtain from the Tax Committee and provide to the members of the Board Information on the existing system of taxation of public organizations and Associations, including the established ARREOT;
24.Instructed the Director of the ARREOT, Pulatov K., within the term up to March 10, 2023, to prepare, agree and send a letter of the ARREOT
- to the Ministry of Foreign Affairs of the RT;
- to the SUE «DIPSERVICE»;
- to the State Committee for Investment and Property Management of the RT
on the provision of a list of international credit-financial institutions, charitable organizations, development projects, and donor organizations,
and, after receiving it, to send it for the consideration of the Board;
25.Instructed the Director of the ARREOT, Pulatov K., within the term up to March 10, 2023, to prepare, agree and send a letter of the ARREOT on the financing, lending or grant-based support of the ARREOT’s projects, including:
- the activity of the Directorate of the ARREOT;
- the activity of the Educational Center (School of Realtors) of the ARREOT;
- the activity of the Legal Center for Legal and Administrative Protection of Realtors and Homeowners of the ARREOT;
- the activity of the Certification Center of the ARREOT;
- the activity of the Independent Center for the Appraisal of the Value of Real Estate Properties of the ARREOT;
26.Instructed the Director of the ARREOT, Pulatov K., within the term up to March 10, 2023, to find and provide to the members of the Board:
- The Law On Realtor Activity adopted in Russia, Kazakhstan, Uzbekistan, Belarus, Georgia, Armenia and Kyrgyzstan;
- The Law on Homeowners’ Associations adopted in Tajikistan, as well as the analogous laws adopted in Russia, Kazakhstan, Uzbekistan, Belarus, Georgia, Armenia and Kyrgyzstan;
- The Law on the Housing Capital Repair Fund adopted in Tajikistan (according to Ikrom Mirzoev), as well as the analogous laws adopted in Russia, Kazakhstan, Uzbekistan, Belarus, Georgia, Armenia and Kyrgyzstan;
27.Instructed the Director of the ARREOT, Pulatov K., within the term up to March 10, 2023, to develop a draft framework Cooperation Agreement between the ARREOT and analogous Associations in the CIS countries and other countries of the near and far abroad,
as well as other state and non-state associations,
to agree it with the Board and send it to the following organizations:
27.1.The Guild of Realtors of Russia;
27.2.All regional Associations of Realtors of Russia;
27.3.OJSC «DOM.RF»;
27.4.The Association of Realtors of Kazakhstan;
27.5.The Association of Realtors of Uzbekistan;
27.6.The Association of Realtors of Belarus;
27.7.The State Committee for Investment and State Property Management;
27.8.The SUE «Dipservice»;
27.9.The Association of Appraisers of Tajikistan;
27.10.The Ministry of Labor and Social Protection of the Population;
